AMENDED AND RESTATED PETROCCO FAMILY LIMITED PARTNERSHIP, LLLP AGREEMENT THIS AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT is entered into as of the 20 «' day of December, 2012, and amends and restates in its entirety that Limited Partnership Agreement of the Petrocco Family Limited Partnership, LLLP dated December 29, 1997 (the "Original Agreement "), by and between DAVID A. PETROCCO, S% (referred to as "General Partner "), and DAVID A. PETROCCO, SR., DAVID A. PETROCCO, JR., JOSEPH PETROCCO, and JULIE ANNE PETROCCO n/k/a JULIE MARRONE (collectively referred to as "Limited Partners ") (collectively the "General Partner" and "Limited Partners," the "Partners "), as amended. The General Partner and Limited Partners agree as follows: RECITALS: WHEREAS, the Partnership was organized on December 29, 1997 pursuant to the Limited Partnership Agreement of Petrocco Family Limited Partnership, LLLP, and filed a registration statement for registration as a registered limited liability partnership on August 18, 1999, Entity Document 19991155014, and WHEREAS, the Partners entered into a Partnership Agreement Concerning Partnership Interest in the Petrocco Family Limited Partnership, LLLP on April 19, 2002 (the "Transfer Agreement), and WHEREAS, the Original Agreement was amended on April 28, 2000, April 19, 2002, and January 1, 2009 and the Partners desire to amend and restate, in its entirety, the Original Agreement and all amendments thereto, and WHEREAS, this Agreement entirely supersedes and replaces the Original Agreement and governs the relationship among the Partners and the operation of the Partnership, as amended, however, the Transfer Agreement shall remain in effect to the extent that any restrictions on transfer not contained herein are addressed in the Transfer Agreement. Should any conflict between the Transfer Agreement and this Agreement exist, the terms and conditions hereunder shall control. AGREEMENT ARTICLE 1 GENERAL 1.01 Formation. The Partnership was formed on December 29, 1997 pursuant to the provisions of the Colorado Uniform Limited Partnership Act of 1981, as amended (Limited Partnership Act) under the name Petrocco Family Limited Partnership, LLLP.
