I constituted entity and the contract is lawful, valid, and binding on the State. This contract shall <br />2 not be binding on the United States until such evidence has been provided to the Contracting <br />3 Officer's satisfaction. <br />5 28. NOTICES <br />6 Any notice, demand, or request authorized or required by this contract shall be deemed to <br />7 have been given, on behalf of the State, when mailed, postage prepaid, or delivered to the <br />8 Regional Director, Upper Colorado Region, Bureau of Reclamation, 125 South State Street, <br />9 Room 6107, Salt Lake City, Utah 84138 -1102, and on behalf of the United States, when mailed, <br />10 postage prepaid, or delivered to the State of Colorado, Department of Natural Resources, <br />11 Colorado Water Conservation Board, 1313 Sherman Street, Room 721, Denver, CO 80203. The <br />12 designation of the addressee or the address may be changed by notice given in the same manner <br />13 as provided in this article for other notices. <br />14 <br />15 29. CONTINGENT ON APPROPRIATION OR ALLOTMENT OF FUNDS <br />16 The expenditure or advance of any money or the performance of any obligation of the United <br />17 States under this contract shall be contingent upon appropriation or allotment of funds. Absence <br />18 of federal appropriation or allotment of funds shall not relieve the State from any obligations <br />19 under this contract. No liability shall accrue to the United States in case funds are not <br />20 appropriated or allotted. <br />21 <br />22 30. OFFICIALS NOT TO BENEFIT <br />23 No Member of or Delegate to Congress, Resident Commissioner or official of the State shall <br />24 benefit from this contract other than as a water user in the same manner as other water users. <br />25 <br />26 31. CRANGES IN STATE'S ORGANIZATION <br />27 While this contract is in- effect, no change may be made in the State's organization, by <br />28 inclusion or exclusion of lands or by any other changes which materially affect the respective <br />29 rights, obligations, privileges,'and duties under this contract of either the United States or the <br />30 State including, but not limited to, dissolution, consolidation, or merger, except upon the <br />31 Contracting Officer's written consent, which shall not be reasonably withheld. <br />32 <br />33 32. ASSIGNMENT LIMITED — SUCCESSORS AND ASSIGNS OBLIGATED <br />34 The provisions of this contract shall apply to and bind the successors and assigns of the <br />35 parties hereto, but no assignment or transfer of this contract or any right or interest therein by <br />36 either party shall be valid until approved in writing by the other party. <br />37 <br />38 33. BOOKS, RECORDS, AND REPORTS <br />39 The State shall establish and maintain accounts and other books and records pertaining to <br />40 administration of the terms and conditions of this contract, including the State's financial <br />28 <br />
