I constituted entity and the contract is lawful, valid, and binding on the State. This contract shall
2 not be binding on the United States until such evidence has been provided to the Contracting
3 Officer's satisfaction.
5 28. NOTICES
6 Any notice, demand, or request authorized or required by this contract shall be deemed to
7 have been given, on behalf of the State, when mailed, postage prepaid, or delivered to the
8 Regional Director, Upper Colorado Region, Bureau of Reclamation, 125 South State Street,
9 Room 6107, Salt Lake City, Utah 84138 -1102, and on behalf of the United States, when mailed,
10 postage prepaid, or delivered to the State of Colorado, Department of Natural Resources,
11 Colorado Water Conservation Board, 1313 Sherman Street, Room 721, Denver, CO 80203. The
12 designation of the addressee or the address may be changed by notice given in the same manner
13 as provided in this article for other notices.

15 29. CONTINGENT ON APPROPRIATION OR ALLOTMENT OF FUNDS
16 The expenditure or advance of any money or the performance of any obligation of the United
17 States under this contract shall be contingent upon appropriation or allotment of funds. Absence
18 of federal appropriation or allotment of funds shall not relieve the State from any obligations
19 under this contract. No liability shall accrue to the United States in case funds are not
20 appropriated or allotted.

22 30. OFFICIALS NOT TO BENEFIT
23 No Member of or Delegate to Congress, Resident Commissioner or official of the State shall
24 benefit from this contract other than as a water user in the same manner as other water users.

26 31. CRANGES IN STATE'S ORGANIZATION
27 While this contract is in- effect, no change may be made in the State's organization, by
28 inclusion or exclusion of lands or by any other changes which materially affect the respective
29 rights, obligations, privileges,'and duties under this contract of either the United States or the
30 State including, but not limited to, dissolution, consolidation, or merger, except upon the
31 Contracting Officer's written consent, which shall not be reasonably withheld.

33 32. ASSIGNMENT LIMITED — SUCCESSORS AND ASSIGNS OBLIGATED
34 The provisions of this contract shall apply to and bind the successors and assigns of the
35 parties hereto, but no assignment or transfer of this contract or any right or interest therein by
36 either party shall be valid until approved in writing by the other party.

38 33. BOOKS, RECORDS, AND REPORTS
39 The State shall establish and maintain accounts and other books and records pertaining to
40 administration of the terms and conditions of this contract, including the State's financial
