management for State - approved Change Orders. <br />(9) Legal services for: <br />(a) Reviewing engineering services contracts. <br />(b) Reviewing this contract. <br />(c) Reviewing construction contract documents. <br />(d) Acquiring the land and water rights needed <br />for the project. <br />(e) Complying with all federal, State, and <br />local regulatory requirements. <br />Legal services must be approved by the State in <br />writing before they are rendered to be eligible <br />for payment by the State. <br />2. Provide the Contractor with such technical assistance as <br />the State deems appropriate in p ning, constructing, and <br />operating the project and in coordin th project with local <br />official comprehensive plans for sewA wa nd with any State <br />or area plans for the area in whichproc�'s located. <br />D. This contract is not assig'? 1e `�� Yfe Contractor except <br />with the prior written approval of he -t <br />.4 <br />E. The parties to this contracend that the relationship <br />between them contemplated by thi(yontract is that of lender - <br />borrower, not employer - employee. Noy gent, employee, or servant of <br />the Contractor shall be, or shall be deemed to be, an employee, <br />agent, or servant of the State. The Contractor will be solely and <br />entirely responsible for its acts and the acts of its agents, <br />employees, servants, engineering firms, construction firms, and <br />subcontractors during the performance of this contract. <br />F. At all times during the performance of this contract, the <br />Contractor shall strictly adhere to all applicable federal, State, <br />and local laws and regulations that have been or may hereafter be <br />established. <br />G. This agreement is <br />understandings between <br />addition, deletion, or <br />or effect whatsoever <br />subsequent notation, <br />amendment hereto shall <br />a written contract exe <br />rules. <br />intended as the complete integration of all <br />the parties. No prior or contemporaneous <br />other amendment hereto shall have any force <br />unless embodied herein in writing. Upon completion of repayment to the State in the amount of <br />Three Million Eight Hundred Forty -Six Thousand Four Hundred Eighty <br />Dollars ($3,846,480), as set forth in paragraph A.13. above of this <br />contract, the State agrees to convey to the Contractor all of the <br />State's right, title, and interest in and to the project and any <br />Page 6 of 10 pages <br />
