ARTICLE 11 OFFICERS <br />1. The officers of the Administration shall be: Chairman, Vice - Chairman, Recording <br />Secretary, Treasurer, Operations Secretary, and Assistant Operations Secretary. <br />2. The representative of the United States of America shall be the Chairman of the <br />Administration. The Chairman shall preside::at meetings of the Administration_ His <br />duties shall be such as are usually imposed on such an officer and such as may be <br />assigned to him by these by. -laws or by the Administration from time to time. <br />3. The Vice - Chairman shall be a member of the Administration. He shall be elected <br />at the annual meeting of the--Administration; and shall hold office until the next <br />annual meeting of the Administration and until his successor is elected. In the <br />case of a vacancy in the office of Vice - Chairman, the Administration at its next <br />meeting, whether regular or special, shall elect a Vice - Chairman to serve for the <br />unexpired term; and the election of a Vice- Chairman may be made at any meeting <br />of.the Administration prior -to the holding of its first annual meeting; a -nd in such <br />case he shall hold office until such annual meeting. The Vice - Chairman shall <br />perform all duties of the Chairman when the latter is unable for any reason to act or <br />when, for any reason, there is a vacancy in the office of the Chairman. in addition, <br />the Vice - Chairman shall perform such other duties as may be assigned to him by <br />these by -laws or by the Administration from time to time. <br />4. (a) The Recording Secretary may or may not be a member of the Administration. <br />He- shall. be elected by the Administration at its. annual meeting and-shall serve <br />until the next annual meeting or until his successor is elected. In the case of a <br />vacancy in the office of the Recording Secretary, the Administration shall, at its <br />next meeting, whether regular or special, elect a Recording Secretary to serve <br />for the unexpired term. The Recording Secretary shall perform such duties as <br />are imposed on such officer by subparagraph (b) of this paragraph. 4:, by other <br />provisions of these by -laws, or by the Administration from time to time. He shall <br />furnish a bond for the faithful performance of his duties if the Administration so <br />directs. The cost of such bond shall be paid by the Administration. <br />(b) The Recording Secretary's duties shall include, but not be limited to: <br />(i) Preparing,. or causing to be prepared, the Administration's annual reports <br />and printing and distributing, or causing to be printed and distributed, the <br />same, the draft of such annual reports to be distributed to the members of <br />the Administration not later than February 1 st following the end of the <br />immediately preceding compact year. <br />(ii) Preparing and. distributing, or causing. to be prepared and distributed, <br />minutes of all meetings, whether special, special telephonic, or regular, of <br />the Administration, drafts of which minutes shall be provided to the <br />members of the Administration within thirty days of the meeting involved. <br />(iii) Maintaining the principal office and the records, equipment, and supplies <br />therein., and maintaining the seal of the Administration.. <br />2 ARCA Readopted By -laws 12/9/97 <br />
