Description of the Changes; (Continued)
The following changes are made in Paragraph B.4 on Page 7 of 26 of the agreement:
1. Delete Subparagraph c in its entirety and substitute the following therefor:
"c. Foundation fees will be assessed at times of disbursement. The fee will be
assessed at the applicable fee rate on the date of the disbursement based on the fund
balance at the beginning of that business day. The fee rate will apply to any
disbursements made on that day. Fees will be invoiced monthly in arrears and reimbursed
by internal fund transfer upon receipt of an approved Request for Disbursement."
2. After Subparagraph c, add the following:
"d. In addition to fees prescribed by this agreement, the Foundation will be
reimbursed at actual --c)st of extraordinary expenses incurred at the request of parties to the
agreement, such as overnight express mail services, and/or reasonable travel expenses for travel
at the request of the Governance Committee, Finance Committee, or a party to the Agreement."
Adjustment in the Agreement Price: No adjustment in the amount due under the agreement
