OF <br />A Colorado Part *ership <br />THIS PARTNERSHIP AGREEMENT is made this 11th day of May, <br />1993, by and between FRANK A. ECKHARDT JR., DAVID F. ECKHARDT, and <br />STEVEN A. ECKHARDT to formalize under the laws of the State of <br />Colorado the partnership which the parties have previously <br />conducted without the benefit of a w#itten agreement. <br />1. Name and Place of Business: The name of the Partnership <br />will be ECKHARDT FARMS PARTNERSHIP. The initial principal place of <br />business shall be at 21454 WCR 33, Town of La Salle, County of Weld <br />and State of Colorado. <br />2. Term. This Partnership Agreement shall be effective as <br />of the date hereof. The partnership commenced business in <br />, and shall continue until terminated as hereafter <br />provided. <br />3. Purpose. The Partnership is formed for the principal <br />purpose of farming and such other activities, businesses and <br />enterprises in various locations as I may be agreed upon by the <br />Partners from time to time. <br />4. Powers. The Partnership shall have the powers necessary <br />to perform the following activities. <br />(a) To acquire title to, own use, lease, rent, mortgage, <br />improve, develop, exchange, sell and dispose of property as may be <br />acquired by the parties hereto under a name and style of Eckhardt <br />Farms Partnership, a Colorado Partner hip; <br />(b) To borrow or raise money from time to time, to pay or <br />to prepay interest with respect thereto, and to secure the payment <br />of any obligations of the Partnership by mortgage, loan, <br />hypothecation, or pledge, any property which may be acquired by the <br />Partnership; <br />(c) To operate, rent, lei <br />subdivide and otherwise deal with prc <br />assets; <br />(d) To do all and everythi <br />proper for the accomplishment of any o <br />of any of the objects or furthera <br />RIGHONECKHARDWARTNERS.AGT 1 <br />e, maintain, build upon, <br />arty and other Partnership <br />necessary, suitable, and <br />the purposes or attain went <br />:e of any of the powers <br />
