it <br />11 <br />1 <br />Agreement, beginning no later than September 30, 2010. The review and a joint report by the <br />States shall be completed and presented to the Administration at its December 2012 annual <br />meeting. Notwithstanding anything in the Offset Account Crediting Agreement to the contrary, <br />this review shall satisfy the requirements for the first 5 -year review required by paragraph 11 of <br />the Offset Account Crediting Agreement. <br />6. Negotiations on procedures if the Offset Account does not exist. <br />Not later than September 30, 2010, the States will commence work on an <br />agreement as to how credit for direct deliveries of water to the Stateline for replacement of <br />depletions to usable Stateline flow and to make up a Shortfall shall be determined if the Offset <br />Account does not exist after December 31, 2012. Such an agreement shall be completed before <br />the end of the review set forth in paragraph 5 above; provided, however, that if the States have <br />not completed such an agreement by September 30, 2012, each State shall by October 15, 2012, <br />submit a proposal to the other State as to how credit for such deliveries shall be determined if the <br />Offset Account does not exist, and the procedures to determine such credits shall be resolved <br />under the Dispute Resolution Procedure set forth in Appendix H of the draft Decree. <br />Term of this agreement and possible extension thereof. <br />The term of this Agreement shall be from the date of this Agreement, as jointly <br />approved below, until December 31, 2012. If agreed to by the States before December 31, 2012, <br />the term of this Agreement may be extended. If this Agreement is not so extended, either State <br />may thereafter exercise its right to terminate the Offset Account Resolution in accordance with <br />paragraph ITA of the Offset Account Resolution, and the provisions of paragraphs 2 and 3 of <br />this Agreement shall be of no further force and effect. <br />
