2.15 TERMINATION OF THE CONTRACT: <br />he State shall ave the right to erminate this contract for convenience by giving the other party thirty <br />(30) days prior written notice. If notice is so given, this Contract shall terminate on the expiration of the <br />thin days, and the liability of the parties hereunder for further performance of the terms of this contract <br />shall thereupon cease, but the parties hall not be released from the duty to perform their obligations up <br />to the date of termination. <br />The State may, after written notice to the Contractor, and at least ten (10) days opportunity to cure the <br />default or show cause why termination is otherwise not appropriate, terminate the right of the <br />Contractor to proceed with this Contract if: <br />1. It is found that gratuities in the form of entertainment, gifts or otherwise were offered or <br />given by the Contractor or any agent or representatives of the Contractor to any officer <br />or employee of the State with views towards securing a contract or securing favorable <br />treatment with respect to awarding, amending or the making of any determinations with <br />respect to the performing of such contract. <br />2. The services of the Contractor, in the judgment of the State, are unsatisfactory or <br />because of the Contractor's failure to prosecute the work with diligence or within the time <br />limits specified. <br />If the agreement is terminated by the State, as provided herein, all finished or unfinished documents, <br />data, studies, surveys, drawings, maps, models, photographs, and reports or other material prepared <br />by the Contractor under the contract shall at the option of the State, become its property, and the <br />Contractor shall be entitled to receive just and equitable compensation for any services and supplies <br />delivered and accepted. The Contractor shall be obligated to return any payment advance under the <br />provisions of this contract. <br />2.16 PERMITS AND LICENSES: <br />The Contractor s a procure all permits and licenses, pay all charges, fees and taxes and incidentals <br />that may be required for the lawful prosecution of the work. <br />2.17 WAIVER: <br />Any waiver by any party hereto with regard to any of its rights hereunder shall be in writing and shall not <br />constitute or act as a waiver to any future rights which such party might have hereunder. <br />2.18 ACCESS TO DOCUMENTS: <br />Subject o the provisions of he Colorado Open Records Act, Sections 24 -72 -101 et seq., CRS, the <br />Contractor shall be entitled to the full cooperation of the State with regard to access to existing <br />documents in the possession of or u-nd-er the control of the -agency that may be reasonably required for <br />the lawful prosecution of the contract. <br />
