Section 5. General Manager The General Manager shall have the immediate <br />supervision of and control over the canal, reservoirs and other property of the Company and shall <br />supervise and direct the flow of water in the canal and the storage of water in the reservoirs and <br />the distribution of all waters among the Company's stockholders; and he shall exercise such other <br />powers and perform such other duties as the Board of Directors may, from time to time, confer <br />upon him. <br />Section 6. Secretarv It shall be the duty of the Secretary to give notice of all meetings <br />of the stockholders and of the Board of Directors. He shall prepare and keep proper books of <br />record and of account of the business of the Company, and such other books and records as the <br />Board of Directors may, from time to time, prescribe. He shall sign and register all certificates of <br />stock and other documents requiring the signature of the President, and shall attach the corporate <br />seal of the Company to all instruments requiring a corporate seal. He shall receive and receipt for <br />any and all moneys paid to the Treasurer of the Company and make daily deposits, thereof to the <br />credit of the Company in such depositories as may be designated by the Board of Directors, <br />taking duplicate deposit slips therefor; and he shall also draw and attest all checks and orders for <br />the payment of moneys, the same having first been authorized and directed by the Board of <br />Directors; and per form all such other duties as are incidental to his office, and he shall be the <br />custodian of the corporate seal and of all books, records and papers belonging to the Company. <br />The Secretary shall give bond with some responsible bonding company satisfactory to the <br />Board of Directors for the faithful performance of his duties, which bond shall be approved by the <br />Board of Directors and filed with the Treasurer, and shall be in the amount of not less than Ten <br />Thousand Dollars ($10,000), or in such an amount as the Board of Directors may, from time to <br />time, determine; the cost of such bond to be paid out of the treasury of the Company. <br />Section 7. Assistant Secretary The Assistant Secretary shall act in the absence, <br />disability or vacancy in office, of the Secretary, and shall, during such absence, disability or <br />vacancy in office, perform all the duties imposed upon the Secretary by these By -Laws. <br />The Assistant Secretary shall, when required by the Board of Directors, give bond with <br />some responsible bonding company satisfactory to the Board of Directors for the faithful <br />performance of his duties which bond shall be approved by the Board of Directors and filed with <br />the Treasurer and shall be in such sum or in such an amount as the Board of Directors may from <br />time to time, determine; the cost of such bond to be paid out of the treasury of the Company. <br />Section 8. Treasurer The Treasurer shall be custodian of the funds, securities and <br />other like assets of the Company until the same be disposed off by order of the Board of <br />Lake Meredith Res.
