� <br />One or more copies of all documents prepared under this Agreement <br />may be retained by Hydrosphere, but shall not be used for or <br />supplied to any third party without the prior written consent of <br />the District. <br />All computer programs, codes, and analytical tools which are <br />created or used by Hydrosphere in the performance of this Agreement <br />and which are general in nature and not specific to the Conejos <br />River basin, shall remain the property of Hydrosphere and may be <br />subsequently used by Hydrosphere without restriction. Copies of <br />all computer programs, codes and analytical tools that are created <br />by Hydrosphere in the performance of this Agreement and which are <br />specific to the Conejos River basin shall be delivered to the <br />District at the expense of Hydrosphere. �- <br />VIII SOFTWARE LICENSIDTt3 AND DISTRIBIITIO�T <br />The Model will be developed using a proprietary modeling <br />system developed by Hydrosphere. This modeling system is called <br />the Central Resource Allocation Model ("CRAM"). The CRAM network <br />modeling system is analogous to Lotus 1-2-3TM in that� by itself, <br />it is not a model. It beco 1 by the imposition of <br />information specific to the sys ,��'� �i �� odeled in much the same <br />way that Lotus becomes a spr y filling in cells with <br />specific data and formulas. When c ses Lotus 1-2-3TM� he <br />obtains a license to use tl� ,u :� � r i developing his own <br />spreadsheets. This licens���c restrictions on the <br />modification of the software and its transfer to others, yet <br />provides enormous flexibility in the creation, use, and <br />distribution of spreadsheet files. <br />Upon delivery of the Model to the District and in <br />consideration for its fees received in the project, Hydrosphere <br />will grant a General Software License for the use of the CRAM <br />software system to the District and to the Colorado Water <br />Conservation Board. This seneral Software License, attached hereto <br />as Appendix C is analogous to the Lotus 1-2-3TM license described <br />above; it places certain limits on the unauthorized copying and <br />use of the underlying CRAM software system but provides substantial <br />flexibility in the use of the Model to analyze new developments, <br />alternative hydrology and demands, and modifications to system <br />operating procedures. The General Software License permits the <br />District to duplicate and distribute the Model (including <br />underlying executable CRAM software) to an unlimited number of end <br />users under a sub-license arrangement. <br />Hydrosphere recognizes that certain work conducted under this <br />Agreement may contain or result in the generation of, information <br />which the District may wish to keep confidential. Hydrosphere <br />shall respect this confidentiality and shall not provide copies of <br />any work product owned by the District to any other party without <br />the prior written consent of the District. <br />� <br />
