Powers. <br />"In addition to any requirements set forth in the Declaration and notwithstanding anything to the contrary set forth <br />herein, the Board of Directors shall not: <br />(b) unless it has obtained the prior written consent of at least two-thirds (2/3) of all <br />classes of Members or First Mortgagees of Lots (based upon one vote for each First Mortgage <br />Owned), (1) by act or omission, seek to abandon, partition, subdivide, encumber, sell or transfer <br />any common property owned, directly or indirectly, by the Association for the benefit of the <br />Owners (excluding the granting of easements for public utilities or other purposes consistent with <br />the intended use of such common property)." <br />Articles of Incorporation: <br />Article IV, Purpose and Powers of the Association <br />"This Association does not contemplate pecuniary gain or profit to the Members thereof, and the specific purposes <br />for which it is formed are to provide for maintenance, preservation and architectural control of the Lots and <br />Common Areas"... .. "and to promote the health, safety and welfare of the residents within the Property and any <br />additions thereto as may hereinafter be brought within the jurisdiction of this Association and for these purposes to: <br />(d) Bonow money, and with the assent of two-thirds (2/3) of each class of inembers and all First <br />Mortgagees of Lots, mortgage, pledge, deed in trust or hypothecate any or all of its real or personal <br />property as security for money borrowed or debts incurred" <br />CWCB — 3/23/98 - Page 3 <br />
