days before the date fixed for such meeting. The notice may be given by personal delivery, by <br />regular mail or by email. <br />c. A majority of the directors then in office shall constitute a quorum for the transaction <br />of business. Each director, including the President, sha11 be entitled to cast one vote. The action <br />of a majority of the directors present at a meeting at which a quorum is present, except as <br />otherwise provided in this Agreement, sha11 be an act of the Boazd. Decisions of the Board may <br />be made only at regular or special Board meetings called upon proper notice. <br />d. Meeting shall be conducted in accordance with the Colorado Open Meetings law. Not <br />less than 24 hours prior to any regular or special meeting, a notice of the meeting and an agenda <br />of matters to be considered at the meeting shall be posted at the locations specified in subsection <br />(a) above. <br />Section 3.6. Officers. The officers of the Authority shall be a President, Vice President, <br />Secretary, Treasurer, and such other officers as may be authorized by the Board. The President <br />and Vice President shall be members of the Board but the other officers of the Authority need <br />not be Board members. The duties of the o�cers sha11 be those provided in Section 3.7 below <br />and as may be _provided in the Authority Bylaws. All officers sha11 serve for terms of one year or <br />at the pleasure of the Board. Vacancies in any office may be filled at any meering of the Board. <br />Notwithstanding any dates for appointment, reappointment, or election, officers sha11 hold office <br />until their successors are appointed. <br />Section 3.7 Duties of Officers. <br />a. President. The President sha11 be the principal executive officer of the Authority and, <br />subject to the control of the Board of Directors, shall in general supervise and control all of tl�e <br />business and affairs of the Authority. He or she sha11, when present, preside at a11 meetings of the <br />Board of Directors. He or she may sign, with the Secretary or any other proper officer of the <br />Authority deeds, mortgages, bonds, contracts, or other instruments which the Board of Directors <br />has authorized to be executed, except in cases where the signing and execution thereof sha11 be <br />expressly delegated by the Board of Directors to some other officer or agent of the Authority, or <br />shall be required by law to be otherwise signed or executed; and in general shall _perform a11 <br />duties incident to the of�ce of President and such other duties as may be prescribed by the Board <br />of Directors from time to time. <br />-?- <br />
