(8) Enqineering services for construction <br />manaqement, includinq desiqn and construction <br />management for State-approved Change Orders. <br />(9) Legal services for: <br />(a) Reviewing engineering services contracts. <br />(b) Reviewinq this contract. <br />(c) Reviewinq construction contract <br />documents. <br />(d) Acquiring the land and water riqhts <br />needed for the project. <br />(e) Complying with all federal State, and <br />local requlatory reguirements. <br />Legal services must be approved by the State <br />in writing before they are rendered to be <br />eligible for payment by the State. <br />2. Provide the Contractor with such technical assistance <br />as the State deems appropriate in planninq, constructinq, and <br />operating the project and in cootdinating the praject with <br />local official comprehensive plans for sewer and water and with <br />any State or area plans for the are in which the project is <br />located. <br />E. This contract is not as� ' e by Con�ractor except <br />with the prior written approval t�i'� S�e. <br />�� <br />F. The parties to this c c in end that the relationship <br />between them contemplated this contract is that of <br />lender-borrower, not employer-employee. No aqent, employee, or <br />servant of the Contractor shall be, or shall be deemed to be, <br />an employee, agent, or servant of the State. The Contractor <br />will be solely and entirely responsible for its acts and the <br />acts of its aqents. employees, servants, enqineerinq firms, <br />construction firms, and subcontractors during the performance <br />of this contract. <br />G. At all times durinq the performance of this contract, the <br />Contractor shall sttictly adhere to all applicable federal and <br />State laws and regulations that have been or may hereafter be <br />established. - <br />H. This agreement is intended as the complete integration of <br />all vnderstandings between the parties. No prior or <br />contemporaneous addition, deletion, or other amendment hereto <br />shall have any force or effect whatsoever unless embodied <br />herein in writinq. No subsequent novation, renewal, addition, <br />deletion, or other amendment hereto shall have any force or <br />effect unless embodied in a written contract executed and <br />approved pursuant to State fiscal rules. <br />I. In its sole discretion, the State may at any time and in <br />writinq give any consent, deferment, subordir�ation, release, <br />satisfaction, or termination of any or all of the Cuntractor's <br />obligations under this aqreement, with or without valuable <br />considerat�an, upon such terms and conditions as the State may <br />determine to be: (a) advisable to further the purposes of this <br />contract or to protect the State�s financial interest therein, <br />and (b) consistent with bath the statutory purposes of this <br />contract and the limitations of the statutory authority under <br />which it is made. <br />J. Upon completion of repayment to the State in the amount of <br />One Hundred Sixty Thousand Four Hundred Eighty Dollars <br />($160,480) as set forth in paragraph B.13. above of this <br />Paqe 7 of 11 Paqes <br />
