� <br />� <br />QUITCLAIM DEED AND ASSIGNMENT <br />� <br />J <br />' <br />i <br />� <br />� <br />' <br />L� <br />� <br />� <br />� <br />� <br />� <br />� <br />, <br />� <br />THIS DEED, made as of the 20th day af May, 2U1Q, between Breckenridge Meadows <br />Development Company, L.L.C., a Colorad.o limited liability company of the County of EI Paso <br />and State of Colorado ("Grantor"} and Swan's Nest Metropolitan District, a Colorado special <br />district whose legal address is c/o Alan Wickert, 375 Revett Drive, Breckenridge, CO 80424 of <br />the County of Summit and Sta.te of Coiorado ("Grantee"}. <br />WITNESSETH, that the Grantor, on behalf of itself, its members, and their respective <br />predecessors, successars, heirs, and assigns, for and in consideration of the sum of Ten and <br />No/100 Dollars {$10.40), the receipt and sufficiency of which is hereby acknowledged, has <br />rerrtised, released, sold, QUITCLAIMED, and ASSIGNED, and by these presents does remise, <br />release, sell, QUITCLAIM, and ASSIGN unto the Grantee, its heirs, successors and assigns, <br />forever, aIl the right, title, interest, claim and demand which the Grantar and/ar its members has <br />in and ta the real property, together with improvements, if any, and any personal property situate, <br />lying and being in the County of Summit, and State of Colaracla, described as follows: <br />(a) T'he Water Rights described in Exhibit A attached hereta, tagether with any at�d <br />all other water and watex rights appurtenant to the Swan's Nest Metropalitan District, or <br />that have been, are, or may in the future be, used within the originai service area of the <br />Swan's Nest Metropolitan District including, without limitation, the Tiger Run RV Park; <br />and, without lirniting the foregoing, said water and water rights shall include the "Water <br />Rights" described in that certain Master Lease between Breckenridge Meadows <br />Develapment Company, L.L.C. as "Master Lessor," and Swan's Nest Metropolitan <br />District as "Master Lessee" dated March 1 l, 1997 and recorded on Mazch 28, 1997 in the <br />Office of the Summit County Recorder at Reception No. 536032; and <br />(b) All improvements and infrastructure (e.�., wells, pumps, pipes, storage tanks, and <br />appurtenances thereto} that have been, are, or may in the future l�, used to withdraw, <br />treat, and supply water for/ta customers within the original service axea of the Swan's <br />Nest Metropolitan District including, without limitation, the Tiger Run RV Park; and <br />withaut limiting the foregoing, said improvements and infrastructure shall include the <br />"Real Property" described in that certain Master Lease between Breckenridge Meadows <br />Deveiopment Company, L.L.C. as "Master Lessar," and Swan's Nest Metropolitan <br />District as "Master Lessee" dated March 1 l, 1997 and recorded an March 28, 1997 in the <br />Office af the Summit County Recorder at Reception No. S3&032. <br />TO HAVE AND Ti3 HOLD the same, together witb al� and sisigular the appurtenances and <br />privileges thereunto belonging or in anywise thereunto appertaining, and alI the estate, right, <br />title, interest and claim whatsoever, of the Grantor and/or its members, either in law or equity, to <br />the only proper use, benefit and behoof of the Gxantee, its heirs, successors, and assigns forever. <br />� <br />
