0 <br />The Company shall never issue or sell any additional shares of Class <br />I stock or Class II stock. <br />9. At all stockholders meetings voting may be by written proxy signed <br />by the owner of the stock, and cumulative voting shall be permitted. At all <br />such meetings each share of stock shall entitle the owner thereof to one vote. <br />10. For the purposes of accomplishing the foregoing objects and <br />purposes, this Company shall have and exercise all the rights and privileges <br />authorized or permissible under the laws of the States of Colorado and Utah <br />and of the United States of America, including the right to make original <br />filings for and appropriate and to purchase, condemn, lease, exchange for and <br />in all other manners and methods acquire lands, easements, water, water rights, <br />and real and personal property and franchises and rights of every kind and <br />character necessary or convenient therefor; to purchase, condemn, lease, <br />construct or otherwise acquire canals, ditches, pipe lines, drains, drain <br />ditches, reservoirs, power plants, water, water rights, lands, easements, <br />rights of way, franchises of every kind and character and to use and operate <br />and maintain any or all thereof for the mutual benefit of the stockholders; <br />and the power to borrow money, incur indebtedness, issue bonds and notes and <br />contract with the United States and any or all of its agencies, bureaus, and <br />departments, and with other persons and corporations for the accomplishments <br />of the objects of this Company; and to secure the benefits of the Act of <br />Congress of August 11, 1939 (53 Stat., 1418), and acts amendatory thereof or <br />supplementary thereto and to secure the benefits of any other Act of Congress; <br />and to secure any and all of such obligations by mortgage, pledge or other <br />encumbrance or lien upon any and all property of this Company; and especially <br />this Company shall have power to do any and all things necessary or required <br />by the United States or any of its departments or agencies for the purpose of <br />securing Rands therefrom to accomplish the objects and purposes of this <br />Company. Also, to construct, install and maintain a system or systems of <br />communication in connection with the business of the Company; and also, said <br />Company shall have power to purchase and own its own stock, as well as stock <br />of other corporations; provided, however, that the rights of Class I and Class <br />II stockholders shall be excepted and exempted from any mortgage or other <br />lien created-or imposed for enlargement or extension of the system. <br />-6- <br />
