C� <br />• <br />ARTICLfi IV <br />Reaistered Aaent <br />The address of the initial registered office of the corporation is 100 <br />Broadway Plaza, Suite 12, Sterling, Colorado, 80751. The name of its initial <br />registered agent at such address is Robert Schott. <br />ARTICLg V <br />Members and Canital Stock <br />No memberships in the corporation will be established. The corporation <br />shall have no capital stock. As specified in the Bylaws of the corporation, an <br />Advisory Committee of voluntary participante approved by the Board of Directors <br />will assist in accomplishing the above purposes. <br />ARTICLB VI <br />Board of Directors <br />6-(a) The coxporation management and final approval of Advisory Committee <br />recommendations shall be vested in a Board of Directors. The initial Board of <br />Directors will hold a two (2) year term of office and be comprised of four (4) <br />directors representing the following organizations: <br />Lower South Platte Water Conservancy District (LSPWCD) <br />Groundwater Appropriators of the South Platte (GASp) ' <br />Northern Colorado Water Consenrancy District (NCWCD) <br />Platte River Project (PRP) <br />These four organizations were initial grant sponsors with the Colorado Water <br />Conservation Board and provided initial money contributions for the corporation. <br />Bach organization is responsible for appointing its Director and an alternate <br />Director who shall serve when the Director can not serve. After the first two <br />years, changes in the number of Directors, their representation, their term of <br />office, and their manner of election or appointment shall be determined <br />according to the Bylaws of the corporation then in force. <br />6-(b) The names and addresses of the Initial Incorporators are listed <br />below in Article VIII. <br />ARTICLS VII <br />Bvlaws <br />The initial Bylaws of the corporation shall be adopted by its Board of <br />Directors and thereafter the Bylaws may be altered or amended as provided in the <br />Bylaws. The Bylaws may contain any provisions for the regulation and management <br />of the affairs of the corporation consistent with the Colorado Nonprofit <br />Corporation Code or these Articles of Incorporation. <br />2 <br />� <br />� <br />
