� � <br />Severability. To the extent that this contract may be executed and performance of the <br />obligations of the parties may be accomplished within the intent of the contract, the terms <br />of this contract are severable, and should any term or provision hereof be declared invalid <br />or become inoperative for any reason, such invalidity or failure shall not affect the validity <br />of any other term or provision hereof. The waiver of any breach of a term hereof shall not <br />be construed as waiver of any other term. <br />Assignment. Neither party may assign its rights or duties under this contract without the <br />prior written consent of the other party. <br />K. Binding on Successors. Except as herein otherwise provided, this agreement shall <br />inure to the benefit of and be binding upon the parties hereto and their respective <br />successors and assigns. <br />L. Subcontractors. The Contractor shall be permitted to subcontract portions of the tasks <br />delineated herein, provided State approval is secured. Summaries of work undertaken by <br />subcontractors shall be submitted on a quarterly basis by the Contractor to the <br />Department of Natural Resources. <br />M. Other Contractors. The State may undertake or award other contracts for additional or <br />related work, and the Contractor shall fully cooperate with such other contractors and <br />State employees. The State may, at its discretion, permit review of Contractor's interim <br />or final written reports by other contractors who have been engaged to do related work. <br />The State may, at its discretion, request the Contractor to review the work of other <br />contractors and may, from time to time, require the Contractor to meet with other <br />contractors to discuss matters of mutual concern. <br />N. Termination of the Contract. <br />The State shall have the right to terminate this contract for convenience by giving the <br />Contractor thirry (30) days prior written notice. If notice is so given, this Contract shall <br />terminate on the expiration of the thirty days, and the liability of the parties hereunder for <br />further performance of the terms of this contract shall thereupon cease, but the parties <br />shall not be released from the duty to perform their obligations up to the date of <br />termination. <br />The State may, after written notice to the Contractor, and at least ten (10) days <br />opportunity to cure the default or show cause why termination is otherwise not <br />appropriate, terminate the right of the Contractor to proceed with this Contract if: <br />1. It is found, after notice by the State, that gratuities in the form of entertainment, gifts <br />or otherwise were offered or given by the Contractor or any agent or representatives <br />of the Contractor to any officer or employee of the State with views towards securing <br />a contract or securing favorable treatment with respect to awarding, amending or the <br />making of any determinations with respect to the performing of such contract. <br />2. In the sole discretion of the State, the services of the Contractor are unsatisfactory or <br />the Contractor has failed to prosecute the work with diligence or within the specified <br />time limits. <br />Page 4 of 7 <br />
