<br />CONTRACT AGREEMENT

<br />This Contract, made this � day of /�� ' i� , 1999, by and between the State of
<br />Colorado for the use and benefit of the Department of Natural Resources, Colorado Water
<br />Conservation Board, 1313 Sherman Street, Room 721, Denver, CO 80203, hereinafter
<br />referred to as the State, and the National Enerqv Foundation located at 5225 Wilev Post
<br />Way, #170, Salt Lake Citv, UT 841 16, hereinafter referred to as the Contractor.
<br />WHEREAS, authority exists in the Law and Funds have been budgeted, appropriated and
<br />otherwise made available, the sufficient unencumbered balance thereof remains available for
<br />payment of a total of S 30,000 from Fund No. 100 , APPR. PDX , Program WTRC, GBL
<br />BRCA Object Code 3117 (for 527,000) and Object Code 1920 (for $3,000) Contract
<br />Encumbrance No. C l S� 8��. ; and
<br />WHEREAS, the State desires to meet the MOU agreement with the Bureau of Reclamation
<br />approved in September of 1997, and entitled "Cooperative Agreement for Development of
<br />Water Management and Conservation Plans", and utilize appropriated funds for the purpose
<br />of education within the state; and
<br />WHEREAS, the production of Resource Action Program kits that include water conservation
<br />devices and teacher curriculum guides to be distributed to 5` and 6 graders throughout the
<br />state is an integral part of this educational outreach program.
<br />WHEREAS, the State selected the Contractor for the production and delivery of the Resource
<br />Action Program kits by sole source determination; and,
<br />WHEREAS, required approvaf, clearance and coordination has been accomplished from and
<br />with appropriate agencies; and
<br />WHEREAS, this Contract is entered into pursuant to the provisions of 37-60-124, C.R.S.
<br />NOW, THEREFORE, it is hereby agreed that
<br />A. Background and General Scope of Work:
<br />1. Scope of Services. In consideration for the monies to be received from the State, the
<br />Contractor shall do, perform, and carry out, in a satisfactory and proper manner, as
<br />determined by the State, all work elements and services as set forth in the attached
<br />Exhibit A"Scope of Services: hereinafter referred to as the "Project" and
<br />incorporated herein. Work performed prior to the execution of this Contract shall not
<br />be considered part of this Project.
<br />2. Responsibte Administrator. The performance of the se�vices required hereunder shall
<br />be under the direct supervision of Dr. Edward Dalton, an employee or agent of
<br />Contractor who is hereby designated as the administrator-in-charge of this Project.
<br />If, at any time, the Contractor wishes to designate a different Administrator-in-
<br />charge changes, the Contractor shall notify the State in writing of the change and
<br />obtain the State's approval of the change prior to the State disbursing additional
<br />funds to the Contractor.
