Assignment or Transfer Neither party may assign or transfer this Agreement or <br />its rights hereunder without the prior written approval of the other party. Any assignment or <br />transfer of this Agreement without such prior written approval shall be void. <br />19. Enforcement: Venue Should either party be required to take legal action to <br />enforce its rights hereunder, the prevailing party in such legal action shall be entitled to recover <br />its costs, including reasonable attorney fees. Venue for any action to enforce this Agreement <br />shall be Gunnison County, Colorado. <br />20, GoverninLaw This Agreement shall be governed by and construed in <br />accordance with the laws of Colorado. <br />P <br />
