Participant intends that, if and when the Enlargement Authorizing
Legislation is enacted by Congress, Participant will then enter into a
separate cost - sharing agreement with the Enterprise addressing the
payment of construction costs for the enlargement of Pueblo Reservoir
and/or Turquoise Reservoir, along with any other post - authorization costs
of implementation and development of Enlargements; provided, however,
that if the Participant determines that, taking into account the storage
amounts identified in the PSOP Report and this MOA, the amount of
available Enlargements Storage space has been reduced to a point where it
is not economically prudent to execute an Enlargement Allotment
Contract, then the Participant may elect not to execute an Enlargement
Allotment Contract and shall have no further obligations under this MOA.
Such agreement may be part of an Enlargement Allotment Contract that
also establishes Participant's rights to storage space in the Enlargements,
-11-
