CONSENT TO ADDITIONAL PARITY BONDS
IT IS HEREBY CERTIFIED by the undersigned duly authorized officer of the Colorado Water
Conservation Board ("the Board") that:
1. This consent is delivered in connection with the issuance of the Ute Water Conservancy
District Water Revenue Refunding Bonds Series 2009, in the aggregate principal amount
of $15,135,000 ("the Bonds"), which the District, acting by and through its Water
Activity Enterprise, will issue on November 19, 2009.
2. The District has heretofore entered into Loan Contracts C153329 ($1,000,000) and
C153380 ($7,987,500). The District has also entered into Loan Contracts C153670A
($400,000), C153670B ($10,137,500), and C150026 ($17,000,000), which loans the
District has pledged to repay from net revenues of its water system and which hereinafter
are collectively referred to as the "Loan Contracts."
3. Based upon its review of the Preliminary Official Statement on the Bonds dated
November 3, 2009 and prepared by the District, the Boaxd hereby consents to the
issuance of the Bonds with a lien on the net revenues of the District's water system that is
on a parity with the lien of the Loan Contracts with respect to those revenues, provided
that the District's annual debt service requirement is no greater than it was under the
District's Water Revenue Bonds, Series 2000.
