Gimbei <br />CWCB Director <br />Dan McAuliffe <br />CWCB Deputy Director <br />CONSENT TO ADDITIONAL PARITY BONDS <br />IT IS HEREBY CERTIFIED by the undersigned duly authorized officer of the Colorado Water <br />Conservation Board ("the Board") that: <br />1. This consent is delivered in connection with the issuance of the Ute Water Conservancy <br />District Water Revenue Refunding Bonds Series 2009, in the aggregate principal amount <br />of $15,135,000 ("the Bonds"), which the District, acting by and through its Water <br />Activity Enterprise, will issue on November 19, 2009. <br />2. The District has heretofore entered into Loan Contracts C153329 ($1,000,000) and <br />C153380 ($7,987,500). The District has also entered into Loan Contracts C153670A <br />($400,000), C153670B ($10,137,500), and C150026 ($17,000,000), which loans the <br />District has pledged to repay from net revenues of its water system and which hereinafter <br />are collectively referred to as the "Loan Contracts." <br />3.
