Upon completion of Phase I, tlie Parties t~ this <br />agreement and the River District cantemplate proceeding collectively to impiement Phases II and <br />III of the Project as determined during evaluation and selection of a preferred altenlative in <br />Phase T. <br />g. Consistent with the 1992 Agreement, the plans and specifications for any <br />alternatives selected for the Project are subject to Dillon's approval to ensure that Dillon's use of <br />Old Dillon Reservoir to its ~}~o al shall ot unr asonably be withheld. t impaired or otherwise <br />ad~ersely affected, whlcl~ app <br />p, 5ummit Coutzty, other Parties to this agreement, and the River District each have <br />the authority to construct, own, operate, and maintain water storage facilities. <br />1. The River District is authorized by its Organic Act to "perform all acts and tlungs <br />necessary or advisable to secure and insure an adequate supply of water, present <br />and future," for beneficial uses within the River District. C.R.S. § 37-46-107(c). <br />2. The River District owns and conducts a business engaged in water activities <br />pursuant to the Water Ac#ivity Enterprise Act, C.R.S. § 37-45.1-101, et seq., in <br />order to provide beneficial use of water within the District. <br />3. Summit County is authorized to construct, own, operate and maintain water <br />storage facilities pursuant to C.R.S. § 30-20-402. <br />4, The Town of Dillon is authorized to construct, own, operate and maintain water <br />storage facilities pursuant to C.R.S. § 31-15-708. <br />5. The Town of Silverthorne is authorized to construct, own, operate and maintain <br />water storage facilities pursuant to C.R.S. § 31-15-70$. <br />AGREEMENT <br />NOW, THEREFORE, in considerarion of the mutual promises, goals, and policies <br />contained herein, the County, Dillon, and Silverthorne hereby agree as follows: <br />1, Proiect Mana~ement. The River District shall manage all phases of the Project as <br />described in Recital D above, in consultation with Summit County (as provided for in <br />Intergovemmental Agreement "Exhibit A"), including contracting with outside consultants <br />and/or cantractors to perform analyses, evaluations, engineering, construction, or other necessary <br />activities, for a management fee equal to ten percent (i0%) of all invoices submitted for <br />outsourced work related to the Project.
