FLYNN <br />December 4, 2008 <br />Mike Serlette <br />Colorado Water Conservation Board <br />1313 Sherman Street, Room 721 <br />Denver, CO 80203 <br />Re: Attorney Opinion Letter for Loan Contract No. C150275 <br />Dear Mr. Serlette: <br />At the request of the Republican River Water Conservation District, acting by and <br />through its Water Activity Enterprise, this letter is submitted in compliance with Paragraph A.7 <br />of Contract No. C 150275 dated November 19, 2008, between the Colorado Water Conservation <br />Board ("CWCB") and the Republican River Water Conservation District, acting by and through <br />its Water Activity Enterprise ("Bonower"). This letter is subject to the qualifications contained <br />herein. <br />As the counsel to the Borrower, it is my opinion that: <br />1. The contract has been duly executed by President of the Board of Directors of the <br />Republican River Water Conservation District, which is the governing body of the Borrower, <br />and who is duly elected by the Board of Directors and is authorized to execute the contract and to <br />bind the Borrower. <br />2. The resolution of the Board or Directors of the Republican River Water <br />Conservation District, acting as the governing body of the Borrower, authorizing the execution <br />and delivery of the contract was duly adopted by the Board of Directors, acting as the governing <br />body of the Borrower. <br />3. There are no provisions in the Colorado Constitution or any other state or local <br />law that prevent this contract from binding the Borrower. <br />
