contributions. The independent auditor shall determine the present value to the Program of these <br />in-kind services based on the agreements between the Governance Committee and signatory <br />authorizing the in-kind services and the status of those in-kind services. (In-kind services do not <br />include the costs associated with providing representatives on the Governance Committee, <br />Oversight Committee or other committees established by the Governance Committee.) <br />Upon completion, the audit will provide the present value of each signatory's participation in the <br />Program from its initiation until its termination. Each signatory may use the results of the audit <br />to seek credit during the subsequent negotiations with the FWS pertaining to the Section 7 <br />consultations on water related activities previously covered by the Program. During subsequent <br />Section 7 consultations, the FWS will give due consideration to these contributions and the <br />subsequent benefits to the target species and habitat that will be received due to these <br />contributions. <br />If a signatory state elects to withdraw from the Program and the other signatories elect to <br />continue the Program, the Financial Management Entity (FME) shall retain an independent <br />auditor. The independent auditor will determine the present value of the contributions of the <br />withdrawing signatory state made from the date of the initiation of the Program until the actual <br />date of the withdrawal from the Program. The present value analyses will be completed in the <br />same manner as presented above, but will only address the contributions of the withdrawing <br />state. The withdrawing state may use the results of the audit to seek credit during the subsequent <br />negotiations with the FWS pertaining to the Section 7 consultations on water related activities <br />previously covered by the Program. During subsequent Section consultations, the FWS will give <br />due consideration to these contributions and the subsequent benefits to the target species and <br />habitat that will be received due to these contributions."
