An "Errors & Omissions" policy to protect directors and officers from <br />personal claims of liability might be prudent; the cost would have to be <br />investigated. <br />c. Whether or not any offset should be allowed for donation of services (or <br />assets?) by members. If so, how are they valued? <br />d. In what-circumstances, if any, will SPWRAP decline a new member? <br />Although specificity may be difficult this early in the process, having some <br />policy in place prior to the time an applicant must be turned away will likely <br />avoid legal wrangling. The board will need to decide if it is comfortable <br />with federal agencies, water users from other states, special interest <br />groups and individuals whose purposes are unknown as members. <br />i Art. VI. states that membership will be open to anyone who pays their <br />fees and assessments unless they have new depletions that would <br />sink the Colorado Program. Classes of inembership, however, are <br />defined in terms of the type of water use in which the member <br />engages. <br />Class X memberships, defined in Art. VI.A.S. as any water users who <br />desire to participate, but who don't fit into the other categories, pay <br />assessments at whatever rate the board decides is appropriate. The <br />board may want to consider the range and possible motivations of all <br />potential Class X members before setting the assessment rate for that <br />class, as well as whether it will strictly construe Art. VI.A.5. to allow <br />only water users to become members. <br />These are the primary issues suggested by the Articles.
