t - <br />.A.TTAcxMEnT w <br />State of VVyarning's General Provisions <br />A. Arnendmeats. A.ny party may request changcs in this Agreement. Any changes, modificat"rons, <br />covisions or amondments to ihis Agreement which are mutua!!y agreed upotn by and betwcen the parties to this Agreement <br />shall be incorporated by writen instrumani, executed and signe8 by a!i parties ta this Agreement. <br />. B. AvaiEability of Funds. Each paymant ob:igation of e'tther party is conditioned upon the <br />availability of governrnent funds which ace appropriated or atlocated for the payment of #his obtigation. If funds are not <br />allocated 'and available for thet cnnlinuance of the services performed by either party, the Agreement may be terminated <br />by eithor party at the end af the pcriad for which the funds are available. Each parry shall notify the other party.at the <br />eartiest possible time of the services which will or may be affectcd by a shortage of ft?nds. No pcnalty shall accrue to <br />cithtr parry in tha event this provision is exercised, and neither party shalf be obligated or liable for any future payments <br />due or far any damagcs as a result of tecm.ination under this secXion. This provision shall not be construed to perrnit either <br />party to tecminate ttiis Agreement in ardar to acquire similar services from anattter party. C. Entirety oiAgreement This Agreement, consisting of pages, represerits the entire <br />and integratcd agrcement between thc parties and superstdes att priar ncgotiations, representations-and agreement, <br />whether written or aral. . • <br />D, Priar ApprovaL This Agreement shall not be binding ugon either party unless this Agreement <br />has been rcduced t4 writing before performance begins'as described'under ihc tcrrns of ihis Agreement, and unless this <br />Agreement is approved as to fosm by the Attorney General or his representative. <br />E. 5everability. Should any portion af this Agreement be judscially determined to he illegal or <br />unenforceable, the remainder of #he Agreemeat shali continue in full force and effect. . , <br />I F. Sovereign Immunity. The State of Wyoming does nat waive its svvereiga immunity by entcring <br />into ihis Agrocment, and fulty retains alf immunities and defenses provided by 1aw with respect to any action based on or <br />occurring as a resulc of this Agreement. •
