Governance. <br />This contract is entered into pursuant to and under the authority granted by the laws of the United <br />States of America. The provisions of this agreement shall be construed to conform to those laws. <br />It is agreed by the parties that this agreement is neither Federal assistance (i.e., a grant or <br />cooperative agreement) nor a Federal procurement contract as those terms are defined at 41 <br />U.S.C. 6301 - 6308. However, any awards of Federal assistance or procurement made by the <br />FWS in connection with this agreement shall conform to the Federal laws, regulations and Office <br />of Management and Budget circulars applicable to such actions. <br />In the event of an inconsistency in the terms of this agreement, or between its terms and any <br />applicable statute or regulation, the inconsistency shall be resolved by giving precedence in the <br />following order: <br />A. Applicable Federal statutes and regulations; <br />B. Scope of Services; and <br />C. Any other provisions of the agreement, including materials incorporated by reference. <br />The FWS shall also comply fully with all other applicable Federal laws and regulations in <br />completing the work. The FWS shall also comply with any other State, local, tribal, or laws or <br />regulations applicable to the work of this agreement. <br />In performing this project, the officers and employees of the U.S. Fish and Wildlife Service shall ' <br />continue to be bound by all ethical laws and rules normally applicable to Federal officers and <br />employees.
