Delete Subpa=agraph c in its entirety and substitute the following therefor: "c. Foundation fees will be assessed at times of disbursement. The fee wi1X be assessed at the applicable fee rate on the date of the disbursement based on tYie fund balance at the beginning of that business day. The fee rate will apply to any disbursements made on that day. Eees will be invoiced monthly in arrears and reimbursed by internal fund transfer upon receipt of an approved Request for Disbursement." 2. After Subparagraph c, add the following: " d. In addition to fees prescribed by this agreement, the Foundation will be reimbuzsed at actual ccst of er,traorclinary expenses incurred at the request of parties to the aqreement, such as overnight express mail services, and/or reasonable travel expenses for travel at the request of the Governance Committee, Finance Committee, or a party to the Aqreement." Adiustment in the Aareement Price: No adjustment in the amount due under the aqreement 2
