a. The Foundation shall provide accounting, bookkeeping, and auditing services; provide supplies <br />and services necessary for its office operations; and provide other administrative services necessary <br />to properly administer contributions and contracts in accordance with this agreement. <br />b. The Foundation shall maintain liability insurance acceptable to the parties to this agreement <br />covering the work being performed by the Foundation under this agreement. The costs and fees <br />associated with this coverage shall be provided in sufficient detail to comply with OMB Circular <br />A-110 and applicable laws of the States of Colorado, Nebraska, and Wyoming, including the <br />requirements found in Attachments C, N, and W. <br />B.4. REIMBURSEMENT FOR SERVICES <br />a. Reimbursement for services provided by the Foundation and billable to Reclamation will be <br />made by Reclamation pursuant to the provisions of OMB Circular A-110. Reimbursement by <br />Reclamation will be made to the extent approved by the Governance Committee and approved by <br />the Grants and Cooperative Agreements Officer's Technical Representative. Reclamation's <br />periodic advance of funds to the Foundation pursuant to Article B.2.of this Agreement will include <br />funds to reimburse the Foundation for its services. <br />b. Payments by each state to the Foundation shall be in accordance with the applicable laws of that <br />state, including any requirements specifically described in Attachments C, N, and W. Each state's <br />periodic advance of funds to the Foundation pursuant to Article B.2 of this Agreement will include <br />funds to reimburse the Foundation for its services. <br />c. Foundation fees will be assessed and paid at times of disbursement by fund transfer from funds <br />held under the agreement to the Nebraska Community Foundation. <br />d. In addition to fees prescribed by this agreement, the Foundation will be reimbursed at actual <br />cost of extraordinary expenses incurred at the request of parties to the agreement, such as <br />overnight express mail services, and/or reasonable travel expenses for travel at the request of the <br />Govemance Committee, Finance Committee, or a party to the Agreement." <br />B.S. PERFORMANCE PERIOD <br />a. This agreement shall take effect upon the latest date shown in the signature blocks 15 through <br />19 on the Assistance Agreement Form 7-2277. <br />This agreement shall remain in effect through September 30, 2012, unless the agreement is <br />extended, modified or terminated after execution. <br />B.6. AMOUNT OF THE AGREEMENT <br />a. For providing services pursuant to this agreement, the Foundation shall be paid on a sliding scale <br />based on the cumulative annual disbursements during each Nebraska Community Foundation <br />fiscal year, which is July 1 through June 30, as follows: <br />Annual Cumulative Disbursements <br />From To Fee <br />$ 0 $999,999 2.50% <br />$1,000,000 $1,999,999 2.25% <br />$2,000,000 $4,999,999 2.00% <br />$5,000,000 $9,999,999 1.75% <br />> $10,000,000 1.5%
