\ <br /> <br />Work Order Agreement between <br />the Nebraska Community Foundation, Inc. <br />and the Lincoln County Weed Control Authority <br />A. Parties. This Agreement is between the Nebraska Community Foundation, Inc. <br />("Foundation") of Lincoln, Nebraska, and the Lincoln County Weed Control Authority <br />(LCWCA), an agency of county government in Lincoln County, Nebraska. The following <br />persons are authorized to represent the parties through this Agreement: Diane Wilson, Chief <br />Financial and Administrative Officer of the Foundation and Mitch Huxoll of the Lincoln County <br />Weed Control Authority. <br />B. Purpose. To provide funds to LCWCA to be used for the eradication by herbicide of <br />phragmites by aerial spraying on an area of approximately 28 acres along the channel of the <br />North Platte River in the vicinity of the US Highway 83 Bridge in North Platte, Nebraska. The <br />area to be sprayed is designated on Exhibit A. <br />C. Terms and Conditions. <br />C1. Scope of Services LCWCA will perform the following services: <br />1. Coordinate with land owners to provide access arrangements for the spraying operations. <br />2. Coordinate with Sky Copters, Inc., or the contractor of their choosing, to perform the <br />spraying operation. <br />3. Confirm that the designated area was sprayed by the spraying contractor as directed by <br />LCWCA. <br />C2. Compensation. LCWCA will be compensated $6,000 upon satisfactory completion of the <br />Scope of Services. The LCWCA will provide written requests for payment to the Governance <br />Committee's Executive Director's office (address included below). The Executive Director of <br />the Governance Committee upon receiving and approving the bill will advise the Foundation of <br />approval. The Foundation will make payment of these funds directly to LCWCA within 30 days. <br />C3. Other space, equipment and supplies. The LCWCA will supply their own office space, <br />equipment and supplies. <br />C4. Amendments. This Agreement, scope, and budget may be amended by mutual written <br />agreement of the parties. <br />C5. Agreement contingent upon available funding. This Agreement is contingent upon <br />funding availability and continuation of the Platte River Recovery Implementation Program. <br />C6. Insurance and Indemnification. LCWCA will provide liability insurance covering the <br />activities associated with this contract in the minimum amount of $1,000,000 per occurrence. <br />Proof of Insurance will be provided to the NCF. To the extent authorized by law, LCWCA shall <br />indemnify, save, and hold harmless the Nebraska Community Foundation, the states of Colorado, <br />Wyoming, and Nebraska, the Department of the Interior, Governance Committee and the <br />Executive Director's Office, their employees, employers, and agents, against any and all claims, <br />damages, liability and court awards including costs, expenses, and attorney fees incurred as a
