All such addresses may be changed or modified by written
notice to the, other party.

16. GOVERNING LAW. This agreement shall be construed and
enforced in accordance with the laws of the State of Colorado.

. 17. SURVIVAL. All of the warranties and representations of
Seller contained in this agreement will be true at closing just as
though these warranties and representations were made at that time,
and all agreements, warranties, representations, and undertakings
of Seller contained in this Agreement will survive closing to the
full extent necessary for their enforcement and the Buyer's
protection.

18. EXAMINATION/INSPECTION. No examinations or inspections
by the Buyer will modify or diminish Seller's obligations with
respect to the representations and warranties of Seller contained
in this agreement.

, 19. ENTIRE AGREEMENT. This agreement contains the final and
entire agreement between the parties hereto with respect to the
sale and purchase of the Property and is intended to be an
integration of all prior understandings. The parties hereto shall
not be bound by the terms, conditions, statements, or
representations not contained herein. No change or modification of
this agreement shall be valid unless the same is in writing and
signed by the parties hereto.

20. BINDING EFFECT. This agreement shall be binding upon and
inure to the benefit of the parties hereto and their respective
legal representatives, heirs, successors and assigns.
