liability or responsibility ~ih respect to (i) the validity or enforceab~of the Loan or the Loan <br />Contract, or any payments with respect to such Loan or Loan Contract or (ii) any acts or omissions <br />of the Borrower, including those with respect to (a) the Loan or the Loan Contract, (b) the use or <br />application of any monies payable to the Borrower under this Agreement or (c) the performance of <br />any obligations imposed upon the Borrower pursuant to this Agreement, the Loan Contract or any <br />other agreement or instrument entered into with respect to the Loan. In furtherance and not in <br />limitation of this Section 7.1 and irrespective of any review of the Loan Contract or its familiarity <br />with similar such documents, INC shall neither have any duty (i) to enforce or comply with the <br />terms of the Loan Contract, nar (ii) to investigate, supervise or insure the Borrower's compliance <br />with such terms or the terms of this Agreement. The Bonower hereby acknowledges that INC and <br />the Insurer may have business relationships with CWCB and other persons with respect to the <br />Loan in addition to those created pursuant to this Agreement. <br />7.2 UnconditionalObli at~ ion. <br />The obligations of IlVC under this Agreement are unconditional and INC <br />hereby waives any right of setoff or counterclaim with respect to the Remaining Payments. <br />Article 8. The rights and remedies <br />of INC or the Borrower hereunder are cumulative and are not exclusive of any rights or remedies <br />provided by law or equity or in any other contract between the Borrower and INC or the Insurer. <br />No provision of this Agreement may be amended, waived, modified or ternunated, except in a <br />writing duly signed by INC, CWCB, the Borrower and the Insurer. <br />8.3 Survival. <br />All warranties, representations and obligations contained herein or in any <br />of the instruments or documents delivered pursuant to this Agreement shall survive the delivery of <br />any such instruments or documents. <br />8.4 Successors and Assi~ns. <br />This Agreement shall bind and the benefits hereof shal] inwe to the parties <br />hereto and their respective successors and assigns.
