of the Voting Members, in accordance with the provisions of these Bylaws, the Declaration and <br />Articles of Incorporation, or as otherwise determined by the Voting Members present in person <br />at the meeting. The Voting Members may transact other business as may properly come before <br />them at these meetings. Failure to hold an annual meeting shall not be considered a forfeiture or <br />dissolution of the Club. � <br />Section 4.2 Budget Meeting. The proposed annual budget shall be submitted to the <br />Voting Members for approvaI at a Special Meeting or by mail. Unless the proposed budget is <br />approved by 67% of the total votes in the Club (1 vote per Lot), the budget shall be deemed <br />rejected and the most current approved budget shall remain in place until a new budget has been <br />approved. <br />Section 4.3 Special Meetin�. Spe�ial meetings of the Club may be called by the <br />President, by a majority of the members of the Board of Directors or by a petition signed by <br />Members comprising twenty-five percent (25%) of the Lots in the Club to which a vote has been <br />allocated. <br />Section 4.4 Non-Votin� Member Participation. Non-Voting Members shall be entitled <br />to separate notice of all meetings of the Voting Members upon request, in writing, to the Club. <br />Non-Voting Members shall be entitled to participate in and comment at all meetings of the <br />Voting Members but shall not be entitled to vote, except as the holder of a proxy of a Voting <br />Member. Non-Voting Members shall further have the right to sign petitions to call Special <br />Meetings, nominate Directors, and serve as Directors or Officers of the Club. <br />Section 4.5 Notice of Meetin�s. Written notice of each meeting of the Members shall <br />be given by, or at the direction of, the Secretary or person authorized to call the meeting, by <br />mailing a copy of such notice, postage prepaid, at least ten (10) days before, but not more than <br />fifty (50) days before such meeting, to each Voting Member, addressed to the Voting Member's <br />address last appearing on the books of the Club, or supplied by such Voting Member to the Club <br />for the purpose of notice. Notices shall be provided to Non-Voting Members upon written <br />request by the Non-Voting Member to the Secretary-Treasarer of the Club subject to a reason- <br />able fee for the additional postage, copying and administrative costs associated with the mailing, <br />as determined by the Secretary-Treasurer in his or her sole discretion. Notice of ineetings or <br />votes by mail involving the election or removal of Directors shall be sent to all Members, <br />regardless of their designation as Voting or Non-Voting Members. Such notice shall specify the <br />place, day and hour of the meeting and, in the case of a special meeting, the purpose of the <br />meeting. No matters shall be heard nor action adopted at a special meeting except as stated or <br />allowed in the notice. <br />Section 4.6 Place of Meetines.
