opinion of the Board, will promote the common benefit and enjoyment of the occupants, residents <br />and Owners within the Community, and to have and to exercise any and all powers, rights and <br />privileges which are granted under the Colorado Common Interest Ownership Act applicable to <br />communities created prior to July 1, 1992, the Declaration, the Bylaws, and the laws applicable to <br />a nonprofit corporation of the State of Colorado. <br />The foregoing statements of purpose shall be construed as a statement of both purposes and <br />powers. The purposes and powers stated in each clause shall not be limited or restricted by reference <br />to or inference from the terms or provisions of any other clause, but shall be broadly construed as <br />independent pur}�oses and powers. <br />ARTICLE VI. Qualification of Members, Voting <br />The authorized number and qualifications of Members of the Club, the voting and other <br />rights and privileges of Members, Members' liability for dues, and the method of collection of dues <br />shall be as set forth in the 'Jecla*ation and Bylaws of the Club. There shall be two classes of <br />Members: Voting and Non-Voting Members. The qualifications for each class ofMemberc .�ha�l be <br />set forth in the Declaration and Bylaws of the Club. <br />The Club may suspend the voting rights and use of the Common Area of a Member for <br />failure to pay dues or for failure to comply with the governing documents and rules or regulations <br />of the Club or with any other obligations of the Members under the Declaration and Bylaws after <br />notice and the opportunity for a hearing. <br />ARTICLE VII. Corporate Office and Registered Ag�nt <br />The current principal office of the Club is 2071 Park County Road 58, Grant, Colorado <br />80448. The current registered agent of the Club is Joan Pribyl at �he registered address of 8323 W. <br />70`� Place, Arvada, Colorado 80004. The principal office and the registered agent and office of the <br />Club may change from time to time, by action of the Board of Directors. <br />ARTICLE VIII. Board of Directors <br />(a) The business and affairs of the Club shall be conducted, managed and controlled by <br />a Board of Directors. The Board of Directors shall consist of the number of directors set forth in the <br />Bylaws of the Club. Directors shall be Members of the Club, as defined in the Declaration and <br />Bylaws. <br />(b) Members of the Board of Directors shall be elected at the annual meeting of the <br />Members in the manner determined by the Bylaws; <br />(c) Directors may be removed and vacancies of the Board of Directors shall be filled in <br />the manner provided in the Bylaws. � <br />Page 3 of 6 ^,�"t�'TlCmosha T �� a��,w���. ��,�, -F2,�. � <br />�r <br />
