2. The services of the Contractor, in the judgment of the State, are <br />unsatisfactory or because of the Contractor's failure to prosecute the work with diligence <br />or within the time limits specified. If the agreement is terminated by the State, as <br />provided herein, the Contractor will be paid an amount which bears the same ratio to the <br />total compensation as the services actually performed bear to the total services of the <br />Contractor covered by this Contract. <br />Q. Proorietary Ri hts <br />The Contractor agrees to and does hereby grant to all State agencies, political <br />subdivisions of the State and the United States Government irrevocable, nonexclusive, <br />nontransferable and royalty-free license to use, according to law, any material or article <br />and use any method that may be developed as a part of the work under this Contract. The <br />Contractor shall be permitted to use, according to law, any material or article and use any <br />method that may be developed as a part of the work under this Contract elsewhere in <br />connection with work for any other political subdivision of the State, as well as the United <br />States Government. <br />R. Permits and Licenses <br />The Contractor shall procure all permits and licenses, pay all charges, fees and taxes and <br />incidentals to the due and lawful prosecution of the work. <br />S. Waiver <br />Any waiver by any party hereto with regard to any of its rights hereunder shall be in <br />writing and shall not constitute or act as a waiver to any future rights which such party <br />might have hereunder. <br />T. Access to Documents <br />The Contractor shall be entitled to the full cooperation of all State agencies, with regard <br />to access of existing documents in the possession of or under the control of such agency. <br />Page6of8 <br />
