<br />6. Quality. The S~ate will be Uie sole judge in determining "equa " with regard to quality, price and

<br />or special conditions o( Me PO. A State~ liabilily not paid within 45 ays is considered delinquent and,

<br />or child support errearages; (6) unpaid balances ot ta.r, acuued inte est, or other charges specified in
<br />Ar4cle 21. Title 39, C~RS; (c) unpaid loans due ta ~he Student Loan Di ision of ihe Department of Highef

<br />13. Assignment and Successors; Ant@rust Glaims. Vendor shall n t assign righGS or delega~e duties
<br />under ihis PO, or su~conVaA any part o~ the performance required u der this PO, without the express,
<br />written consent of ihe State, which shell not be unreasonably wi~hheld. his PO shall inure to the benefit of

<br />14. Indemnification. In Ihe event any aiticle sold or delivered under is PO is covered by any patent,
<br />copyright, hademark, or application Nerefor, vendor will indemnify and hold harmless the State from any
<br />and all loss, liabilky, casL expenses and legal fees inwrred on acco nt of any claims, legal acfions or
<br />judgmenls arising ou~: of manufacWre, sale or use of such article in v olation, inMngement or Ne like of
<br />rights under such pxtent, copyright, Vacemark or applicafiort If this PO is for services, to the extent
<br />authorized by law, vendor shall indemnily, save, and hold harmless th State, i~s employees and agenb,
<br />against any and all daims, damages, liabiliry and court awards inclu ng cosis, exDenses, and atlomey
<br />fees and related expenses, incurred as a iesuN of any act or omission b vendor, or ils employees, agen6,
<br />subcontractore or azsignees, arising oN ol or in wnnec6on witli pertor ance of services ordered by Ihis
<br />PO.
<br />17. Complianca with Laws. Vendor egrees to comply with aA applicable federal and Stete laws,
<br />regulatlons and policies, as amended, induding Nose regarding unhir labor practices, enfi-kick-back and
<br />cdlusion.
<br />1 e. Americans wkh Disabilkies Act (AUA) Requirements. If ihis solidtaGOn wntemplates ihe provision
<br />of services to ihe public, vendor shall, in addiGon [o eny other requirements under Title 11 0/ ~he ADA,
<br />comply with ihe Title 11 requiremerRs of Ihe ADA regarding ~he accessibility ot State services and
<br />programs, as an esplidt requirement. Vendor assures Nat, at all times during Ne pertormance of any
<br />resulling PO, no quali(ed individual wiN a disability shall, hy reason of Nat 6sabiliry, be excluded hom
<br />participation in, or 6e denied benefib o(, services, pragrams, or activities pertormed by vendor for lhe
<br />benefitofthe State.
<br />19. Insurance. Vendor shall obtain, and maintain at all times during the term of this PO, insurance as
<br />specified in the sWicita6on or order, and shall provide proot o1 such covera9e.
<br />20. Termination For DeTauH/Cause. a. ExceDt as othervrise agreed, the UCC shall govern in the cesa of
<br />goods. In the case of services, i( vendor refuses or tails to Gmely perform any af the provisions of Nis PO,
<br />wiH~ such diligence as will ensure iR completlan within Me fime spedfied in ihis PO, ~he purchasing agent
<br />may notity vendor in wri5ng of non-pertormance, and if nat pmmptly corrected witlun Ne Gme specified,
<br />such agent mey terminate vendofe rigM tu proceed with the PO or such part thereot as to which there has
<br />been delay or a failure to propedy perform. Vendor shall continue per(ormance of ~he PO to ihe extent it is
<br />not lerminated and shall be liable to~ excess costs i~urred in procuring simllar goods or services
<br />elsewhere. Payment for completed services pertormed and accepted shall be at Ihe PO pnce.

<br />under the UCC (or in goods, ihe purchasing agency may withhold amounts due to vendor as the
<br />purchasing agent deems necewary to reimburse the purchasing agency for Ne ezcess costs incurted in
<br />aring, completing or procuring similar gootls and services.
<br />c. In the case of eiNer goods or services, vendor shall not be in detault by reason ot any (aiWre in
<br />peAormance of Nis PO in accordance vnth its terms, if such tailure arises out of acis of God; acts ot U~e
<br />public enemy; acts of ~he State or any govemmental en6ry n iLS sovereign or conVactual capaciry; fires;
<br />floods; epidemics; quarantine restrictlans; strikes or other labor disputes; height embargoes; or unusually
<br />severe weather.

<br />notice of Me terminatlon to vendor specifying the part of Ue PO terminated and wfien termina6on becomes
<br />eftec5ve. Upon ~eceipt o( nolice of termination, vendor shall incur no further obligafions except to the extent
<br />necessary to mifigate ~osts of pertormance. In Ne case ol senices or specially manufa~tured gootls, ihe
<br />State shall pay reasonahle settlement ezpenses, ihe PO W~ce or rate lor supv~ies and services deGvered
<br />and accepted, ~he reasonable cosis of peAamance on unaccep~ed supplies and services, and a
<br />reasonable profit for that unaccepted Work, in accordance will~ the cost principles promulgated in
<br />accordance wIIh CRS 24-107-107, as amended. In ttie case of exisGng goods, the State shall pay
<br />reasanable settlement expenses, ~he PO price for goods delivered and accepted, reasonable costs
<br />incurred in preparation far delivery of the undelivered goods, and a reasonable pmfit for ihat preparatory
<br />work. The amoun~ of Ne termination liabiliry under Ihis paragraph shall not exceed ihe amount of Ne PO

<br />22. Purchase Order Approval. This PO shall not be valid unless it is exewted by Ne purchasing agent /or
<br />~he purchasing State agency or institution. The State shall have no responsibiliry or liabiliry tor products or
<br />services delivered or performed prior to proper execuGon hereof.
<br />23. Fund Availability; Federal Funda Contingency. Financial obligations o( the State payable afler the
<br />current fiscal year are contingent upon lunds for ihat purpose being appropriated, budgeted and othervnse
<br />made available. If Nis PO is funded in whole a in patl vdlh federal funds, this PO is subjecf ro and
<br />contingent uDOn ihe continuing availabiliry ui federal funds for ~e purposes hereof. lf this PO contemplates
<br />~he purchase a( goods to be delivered in a single installment, tlie State represents tha~ it has set aside
<br />su(ficient Nnds to make paymen~ under this PO in acwrdance witt~ its lerms.
<br />24. Choice of Law. This PO is made in, and Ue laws of ~he State of Cdorado shall govern, in connection
<br />wiM the formatlon, performance and tl~e legal enforcement of, ihis PO. Unless othervnse specified in ihe
<br />solicita5on or ihis order. venue for any ju6cial action arising out of ar in connection with Nis PO shall be in
<br />Denver, Colorado. Vendor shall exhaust administratlve remedies in CRS 2F103106, as amended, prior to
<br />commencing any judicial acGon againstth e State.
<br />25. UnNortn Comme~cial Code. All references in ihis PO [o the UCC shall mean Me UCC as adopted by
<br />the State of Cobrado et Title 1, Colorado Revised SUNtes, as amended.
<br />26. Non-discrimination. Vendrn agrees to complyw ith Ne fetter and spiril of a11 applicaMe State and
<br />federal laws respectlng discriminalion and unfair employment practices.
