L• <br />y <br />'.'~ <br />~ ~.: <br />,~~~ ; ;;: <br />duo y~ t`~`u~c:~ <br />i.;~-~,a~~J~~~o~ <br />~~«~~ <br />Re: Loan Contract Between Colorado Water Conservation Board and Town of Bennett, Acting <br />By and Through its Water Activity Enterprise - Contract No. C 150262 (the "Loan Contract") <br />Ladies and Gentlemen: <br />We are attorneys admitted to practice in the State of Colorado and we have acted as counsel to the <br />TOWN OF BENNETT, ACTING BY AND THROUGH ITS WATER ACTIVI'T'Y ENTERPRISE <br />(the "Borrower") with respect to the above-referenced Loan ,Contract with the COLORADO <br />WATER CONSERVATION BOARD (the "Board"), and have acted as such in connection with the <br />authorization, execution and delivery by the Borrower of its Loan Contract. . <br />In so acting we have examined the Constitution and laws of the State of Colorado and the municipal <br />code of the Borrower. We have also examined and relied upon originals, or copies certified or <br />otherwise authenticated to our satisfaction, of such other records, documents, certificates and other <br />instruments, and made such investigation of law as in our judgment we have deemed necessary or <br />appropriate to enable us to render the opinions expressed below. <br />Based upon the foregoing, we are of the opinion that: <br />1) The Loan Contract has been duly executed by officers of the Borrower who are duly elected <br />or appointed and are authorized to execute the Loan Contract and to bind the Borrower; <br />2) Ordinance No. 579, An Emergency Ordinance Approving a Loan Contract by and between <br />the State of Colorado for the Use and Benefit of the Department of Natural Resources, <br />Colorado Water Conservation Board and the Town of Bennett Water Activity Enterprise to <br />Finance Necessary Water We11 :Replacement and Authorizing .Execution .of the :Loan <br />Contract, was duly adopted by the governing body of the Borrower, <br />3) There -are no provisions in the Colorado .Constitution or any other state or Tocal law that prevent <br />the Loan Contract from binding the Borrower; and <br />
