Re: Loan Contract Between Colorado Water Conservation Board and Town of Bennett, Acting
By and Through its Water Activity Enterprise - Contract No. C 150262 (the "Loan Contract")
Ladies and Gentlemen:
We are attorneys admitted to practice in the State of Colorado and we have acted as counsel to the
TOWN OF BENNETT, ACTING BY AND THROUGH ITS WATER ACTIVI'T'Y ENTERPRISE
(the "Borrower") with respect to the above-referenced Loan ,Contract with the COLORADO
WATER CONSERVATION BOARD (the "Board"), and have acted as such in connection with the
authorization, execution and delivery by the Borrower of its Loan Contract. .
In so acting we have examined the Constitution and laws of the State of Colorado and the municipal
code of the Borrower. We have also examined and relied upon originals, or copies certified or
otherwise authenticated to our satisfaction, of such other records, documents, certificates and other
instruments, and made such investigation of law as in our judgment we have deemed necessary or
appropriate to enable us to render the opinions expressed below.
Based upon the foregoing, we are of the opinion that:
1) The Loan Contract has been duly executed by officers of the Borrower who are duly elected
or appointed and are authorized to execute the Loan Contract and to bind the Borrower;
2) Ordinance No. 579, An Emergency Ordinance Approving a Loan Contract by and between
the State of Colorado for the Use and Benefit of the Department of Natural Resources,
Colorado Water Conservation Board and the Town of Bennett Water Activity Enterprise to
Finance Necessary Water We11 :Replacement and Authorizing .Execution .of the :Loan
Contract, was duly adopted by the governing body of the Borrower,
3) There -are no provisions in the Colorado .Constitution or any other state or Tocal law that prevent
the Loan Contract from binding the Borrower; and
