ARTICLE VI <br />SECTION 1: The members of the Board shall receive $15.00 per <br />meeting for regular monthly meetings and $25.00 per day for <br />meetings lasting longer than one-half of a day, and shall be <br />allowed their reasonable traveling expenses when actually engaged <br />in the business of the company, to be audited and allowed as in <br />other cases of demand against the company. The Secretary, <br />Treasurer, and Ditch Rider shall receive such compensation for <br />their services, as the Board shall determine. (Ratified 1 / 10/04) <br />SECTION 2: The company shall indemnify each member of the <br />Board from any liability or expenses reasonably incurred by reason <br />of litigation against them in their capacities as trustees, officers or <br />employees of the company, provided that such trustee or trustees <br />acted in good faith, in a manner reasonably believed to be within <br />their authority as such and in the best interests of the company. <br />ARTICLE VII <br />No contract by any officer of the company shall be valid without <br />the previous authorization or subsequent ratification by the Board. <br />ARTICLE VIII <br />SECTION 1: the President may call Meetings of the Board <br />whenever he may deem it expedient or necessary, and shall be <br />called at the request of any two members of the Board. <br />SECTION 2: A majority of the Board shall constitute a quorum <br />for the transaction of business. <br />14 <br />
