authenticate all certificates of stock, and all contracts and other <br />instruments in writing, to which the company is bound, which shall <br />have been first approved by the Board. No disbursement of <br />company funds shall be made except pursuant to written <br />instrument signed by the President and Secretary. The President <br />shall supervise all the officers and employees of the company, see <br />that their duties are properly discharged, and report to the Board <br />any negligence or misconduct of such officers or employees. In the <br />absence of the President, the Vice-President shall perform his <br />duties. <br />SECTION 2. It shall be the duty of the Treasurer to keep safely <br />all monies belonging to the company and disburse the same only <br />pursuant to authority of the Board. At each annual meeting of the <br />shareholders, the Treasurer shall submit a complete statement of <br />his accounts for the past year with the proper vouchers for their <br />information. He shall make no payments except on a check or a <br />warrant signed as provided in Section I above. He shall discharge <br />such other duties pertaining to his office as shall be prescribed by <br />the Board. <br />SECTION 3. It shall be the duty of the Secretary to keep a record <br />of the meetings of the Board and of the shareholders. He shall keep <br />the book of blank certificates of stock, fill up and countersign all <br />the certificates issued, and make the corresponding entries on the <br />margin of each book on such issuance. He shall keep a stock ledger <br />in due form, showing the number of shares issued to and <br />transferred by any shareholder, and the date of said issuance and <br />transfer. He shall have charge of the corporate seal and affix the <br />same to all instruments requiring a seal. He shall keep, in the <br />manner prescribed by the Board, all the accounts of the company, <br />in books to be provided for that purpose. He shall discharge such <br />other duties as pertain to his office, and as shall be prescribed by <br />the Board. <br />s <br />
