I am the attorney for The Spring dale Ditch Company, a Colorado corporation. <br /> <br />2. The loan contract regarding the above referenced contract number has been duly executed by the <br />officers of the Spring dale Ditch Company. The officers who have executed the loan contract have been <br />duly appointed, and are authorized to execute the contract and to The Springdale Ditch Company. <br /> <br />3. The resolutions of The Springdale Ditch Company relating to the above referenced contract have been <br />executed properly by the duly appointed officers of The Springdale Ditch Company. <br /> <br />4. There are no provisions in The Springdale Ditch Company Articles of Incorporation or By-laws, nor in <br />any state or local statute which would prevent the provisions of Loan Contract No. C150145 from <br />binding The Springdale Ditch Company. <br /> <br />5.
