State. or local laws and regulations. <br /> <br />(7) <br /> <br />Actual construction as called for in the bid <br />documents and in Change Orders approved by the <br />Consultant, the Contractor, the Construction Firm, <br />and the State. <br /> <br />(8 ) <br /> <br />Engineering se~vi e construction management, <br />including des' truction management for <br />State-approved orde~. <br /> <br />Legal serViCe~1f~1l)~~ <br /> <br />(a) RevieW~~~glneering services contracts. <br /> <br />(9 ) <br /> <br />(b) Reviewing this contract. <br /> <br />(c) Reviewing construction contract documents. <br /> <br />(d) Acquiring the land and water rights needed <br />for the project. <br /> <br />(e) Complying with all federal State. and local <br />regulatory requirements. <br /> <br />Legal services must be approved by the State in <br />writing before they are rendered to be eligible <br />for payment by the State. <br /> <br />J. Upon completion of repayment to the State in the amount of <br />Two Million Eight Hundred Eighty-Six Thousand Twenty-Five <br />Dollars and Sixty Cents ($2.886.025.60), as set forth in <br />paragraph B.Il. above of this contract. the State agrees to <br />convey to the Contractor. all of the State's right, title, and <br />interest in and to the project and any other property described <br />in paragraph B.13. above by deed or other proper conveyance. <br /> <br />N. The Contractor warrants that it has duly passed a <br />resolution by its Board of Directors, as provided in its <br />By-Laws. authorizing: the Contractor to enter into this <br />contract with the State to borrow the principal sum of One <br />Million Two Hundred Thirty-Eight Thousand Dollars ($1.238.000); <br />the making and levying of an assessment(s) sufficient to pay <br />off this contract loan pursuant to its terms and to discharge <br />this lawful indebtedness; the setting aside of this assessment <br />revenue in a special fund separate and apart from other <br />Contractor revenues to assure repayment of this revenue to the <br />State; and the signing of a security interest in such <br />assessment revenues in favor of the State to secure the <br />repayment. The resolution of the Contractor and the security <br />interest of the Contractor are conditions precedent to State <br />performance and shall be attached hereto and included herein by <br />this reference. <br /> <br />Page 1 of ~ Pages <br />
