Water Supply Reserve Account -Grant Application Form <br />Form Revised May 2007 <br />Tack <br />Description of Work: Institutional analysis of MVIC and Summit Irrigation Company. <br />Methodology: All current and historical legal documents associated with both irrigation companies will be <br />compiled and reviewed to determine institutional conditions that must be considered in the potential merger <br />or acquisition. The analysis will use the engineering results of Task 1 in determining what steps are necessary for <br />Task 2. Task 2 would not be implemented unless the results of Task 1 are favorable. <br />The review would outline potential institutional liabilities, risks and benefits. Recommendations would be made on <br />the course of action that needs to be followed for a merger or acquisition. The focus would be on creating the most <br />simplistic institution that protects the shareholders in both systems and gives flexibility in the use of the water <br />supplies to both systems. Issues associated with wetlands and endangered species will be considered. <br />Major Deliverables: A legal memoranda will be prepared by legal counsel on the institutional procedures <br />that should be followed for a merger or acquisition. The memoranda will identify potential liabilities, risks and <br />benefits. The opinion will be a privileged attorney-client document. The opinion will be made available to the <br />Attorney General's office under a confidentiality agreement to protect sensitive information. <br />The project team will consist of Bennett Raley, Esq.; Mike Applegate, PE; Dick Stenzel, PE; Tara Schutter, PE; Bill <br />Warmack, PE; and Jack Byers, PE. <br />Future proposal for Task 3 (if warranted by Task 1) - $ 32,100 <br />II. Personnel <br />Mike Applegate, PE /CEO President Applegate Group: 34 years experience in water resources engineering. <br />Experience in dams, hydraulic structures, canals, siphons, water rights, and water planning. <br />Dick Stenzel, PE /Senior Technical Advisor Applegate Group: 45 years experience in water rights and Colorado <br />water administration. Formerly with State Engineer's Office for 28 years. <br />Jack Byers, PE /Senior Water Resources Advisor Applegate Group: 33 years experience in dam design, dam safety, <br />dam security, water resources planning, water administration. Former Deputy Director of State Engineer's Office. <br />Tara Schutter, PE /Partner, Vice President Applegate Group: 12 years experience in water resources infrastructure. <br />Department manager. <br />Bill Warmack, PE /Partner, Vice President Applegate Group: 30 years experience in water resources planning and <br />engineering, water rights investigations. <br />Craig Ullmann, PE /Senior Water Resources Engineer Applegate Group: 10 years experience in water resources <br />infrastructure including dam design, hydraulic structures. Manages Glenwood Springs office for Applegate Group. <br />Richard Raines, PH /Water Resources Specialist Applegate Group: 16 years experience in water resources. <br />Experience in working with Indian water rights. Experience in working with plans for augmentation, change of use, <br />expert witness in water court. <br />8
