ARTICLES OF INCORPORATION OF THE
HEADGATE 135 LATERAL, INC.
A NON-PROFIT CORPORATION

The undersigned, being a citizen of the United States
and the State of colorado and greater than the age of eighteen,
acting as incorporator for the purpose of creating a non-profit
corporation under the laws of the State of Colorado pursuant to
the Colorado Non-Profit Corporation Act, 7-20-101 at seg, 3A
C.R.S., does hereby set forth the Articles of Incorporation as
follows:

The name of the corporation is Headgate 135 Lateral,

Inc.

ARTICLE II
DURATiON

The period of duration of the corporation shall be
perpetual.

ARTICLE III
PURPOSES AND POWERS

The purpose for which the corporation is formed shall
be to engage in all legal activity under the la~s of the State
of Colorado and the united States of America and to promote the
common interest of all ~ater userslyinq along the lateral to
which water is delivered by Headqate 135 from the Grand Valley
Irrigation Company canal.

In furtherance of the foregoing purposes, the corpor-
ation shall have and may exercise all of theri<ghts,powers and
privileges now or hereafter conferred upon corporations orga-
nized under the laws of the State of Colorado. In addition, it
may do everything necessary, suitable or proper for the accom-
plishment of any of its corporate purposes.

Not withstanding the above, the Headgate 135 Lateral,
Inc., shall remain separate and apart from Grand Valley Irri-
gation Company and to that extent no property belonging to the
corporation nor the direction or control of the corporation
shall evolve to the Grand Valley Irrigation Company.
