Hogan, Esq. <br /> <br />Re: Loan Contract Amendment No. 1 to Colorado Water Conservation Board Loan <br />Contract C150180 <br /> <br />Ladies and Gentlemen: <br /> <br />I have acted as general counsel to Pinewood Springs Water District, Larimer County, <br />Colorado a quasi-municipal corporation and a political subdivision of the State of Colorado (the <br />"District") in connection with the entry by the District into Colorado Water Conservation Board <br />Loan Contract C150180 (Loan Contract) and Loan Contract Amendment No.1 (Amendment) to <br />the Loan Contract. Pursuant to the requirement of Paragraph 5 of the Amendment, and subject to <br />the conditions and limitations identified herein, as of the date of this letter, it is my opinion that: <br /> <br />1. The persons signing the Amendment are duly elected members of the District's <br />Board of Directors and are authorized to sign these documents and thereby bind <br />the District to the terms of the Amendment, and, to the best of my knowledge but <br />based solely upon the representations of such members, the members of the Board <br />and the officers of the District remain qualified to serve as such. <br />
