ARTICLE II Stockholders' Meeting Sec. 1. The first annual stockholders' meeting of this corporation shall be held at the office of the corporation at Delta, Colo. (amended to read Cedaredge) on the second Tuesday in April A. D. 1895, and thereafter annually, at one o'clock P. M. Amended at special stockholders' meeting of Feb. 16, 1942, to read as follows: The annual stockholders' meeting of this corporation for the year 1943 and each year thereafter shall be held at Cedaredge, Colo., on the third Monday of February at 2:00 o'clock P. M. Sec. 2. Special meetings of the stock- holders may be called by stockholders representing ten percent of the stock is- sued, filing with the Secretary a written call for such meeting, stating the object, time and place. Sec. 3. At all stockholders' meetings each stockholder shall be entitled to cast one vote for each share of stock held or owned. This vote may be cast in person or by proxy appointed in writing duly filed with the Secretary and by him entered of record in the minutes of the meeting. Sec. 4. A quorum shall consist of a ma- jority of the shares of stock represented by the stockholders present and voting. B'ut stockholders representing less than a quorum of stock may adjourn the meeting to a future day. Sec. 5. The President and Secretary of the corporation shall act in their official capacity at all stockholders' meetings. Sec. 6. The Secretary shall mail to each stockholder at his last known place of resi- dence, a written or printed notice' of the ARTICLE I Name, Shares and Seal Sec. 1. The name of this Incorporation shall be The Granby Ditch and Reservoir Company, incorporated under the laws of the State of Colorado on the 16th day of April A. D. 1894, for the period of twenty years, for the purpose of constructing, maintaining and operating a system of res- ervoirs, on the head waters of Dirty George Creek, in the County of Delta, State of Colorado; and to construct, maintain and operate a ditch to convey water to the lands of the stockholders, from Dirty George Creek to the mouth of Kiser Creek, County and State aforesaid; and to stQck said reser- voirs with Fish and propagate and control the same to all lawful intents and pur- poses;-with the principal office located at Delta, State of Colorado. Section 2. The capital stock of this cor- poration shall be seven thousand dollars, divided into seven hundred shares of ten dollars each to be full paid at the expira- tion of five years from the date of incorpo- ration, and annually assessable. Sec. 3. The corporate seal shall contain the full corporate name of this corporation, with the principal office, and State in the outer circle. Within the circle there shall be the words "Incorporated April 16th 1894."
