SUBJECT: FEASIBILITY STUDY LOAN

Dear Ms. Estep:

Enclosed is the feasibility loan contract in the amount of $7,500. There are four
copies of the contract and each needs to be signed by both the Town and the Water
Commission, and the federal tax number for each entity provided. All four copies are
to be returned to CWCs. An original contract document will be returned to you after
all parties have signed.

Listed below are several documents that need to be provided when you return the
signed contract:

. APPENDICES C and D. The ordinance and resolution, respectively, are needed
from the Town's trustees and the Commission that fulfill the requirements of
paragraph 4 (a) through (e) on page 2.

. APPENDIX E - UCC Security Agreement & Financing Statement. There are four
copies of this document, and each copy will need an original signature and
attest.

. Request for Taxpayer Identification Number Verification W-9 Form. Please fill
out and sign. There are instructions on the back.

. Attorney's opinion letter. You will need to provide an opinion letter from your
attorney, similar to the attached sample, which addresses the same issues.

Once you return all of the signed documents, they will be forwarded to the Attorney
General's office for final review and signature. The completed contract will be sent
to you as soon as all parties have signed.
