Enclosed are the draft loan contract documents for your review. Listed below
are the documents that are included in this transmittal as well as docurhents that
will be necessary when the contract is to be executed.

. Loan Contract.

. Appendix A - The Scope of Study, as provided by your association.

. Appendix B - Resolution Letter; provided by the Board of Directors,
establishing the authority to take the required actions to receive the loan as
requested. Please see Paragraph 4, page 2, of the Loan Contract.

. Appendix C - Promissory Note, as defined in Paragraph 6, page 3 of the Loan

Contract, sets forth the terms of repayment of the loan. i

. Appendix D - Revision letter - Allows for possible changes. specific11Y
relating to decreasing the final amount of the loan or extending the :date of
the study, to be addressed in a simplified revision form, per paragraph 8,
pages 3 and 4 of the Loan Contract. I

. Appendix E - Collateral - A Certificate of Deposit is to be establishe1d and
assigned to the state, as collateral, per paragraph 9, subparagraph 1, page 4
of the Loan Contract.
