of the Rocky Ford Ditch Company.

LOCATION:

The Rocky Ford Ditch is located in Otero County, Colorado, and
the City of Aurora is located in Adams, Arapahoe, and Douglas
Counties, Colorado.

AMOUNT PURCHASED:

288.274 shares of the capital stock of the Rocky Ford Ditch.
Each share is considered to be a full irrigation water supply for
10.00 acres ofland. The average water transfer would be 5,104
acre-feet, but the maximum allowable transfer in one year would
be 5,625 acre-feet.

COMMENTS:

Aurora purchased the majority of the shares of the Rocky Ford
Ditch in 1983. This purchase would be the majority of the
remaining shares. This sale is based upon a consumptive use of
approximately 1. 7705 acre-feet per irrigated acre or 17.705
acre-feet per share.

TERMS:

Combination of cash sales and owner carryback over a seven to
fIfteen year term at 5.00 percent. The Sellers received a $100
per share signing payment and $1,000 per share down payment.
