<br />ARTICLES OF INCOHPORATION <br />OF <br />RIO GRANDE and PIEDRA VALLEY DITCH COMPANY <br /> <br />KNOW ALL MEN BY THESE PRESENTS: <br />That we, Mike McNeil, Chester Off, and Randy Witt, the <br />undersigned natural persons of the age of twenty-one years or more, <br />acting as incorporators of a corporation under the provisions of the <br />"Colorado Corporation Act", adopt the following Articles of <br />Incorporation: <br /> <br />ARTICLE I <br />(Name) <br />The name of the corporation is The Rio Grande and Piedra <br />Valley Ditch Company. <br /> <br />ARTICLE II <br />(Duration) <br />The period of duration of the corporation is perpetual. <br />ARTICLE III <br />(Purposes and Powers) <br />The purposes for the corporation as organized are as <br /> <br />follows: <br /> <br />a) To construct, maintain, and operate a ditch or ditches <br />for the purpose of conveying water by, through, and in said ditch to <br />be taken from the Rio Grande River and distributed to the water users <br />and stockholders of the coporation. <br />b) To own, buy, and acquire water and water rights to be <br />delivered through the ditch system to the water users in said system, <br />and to the stockholders in this company. <br />c) To deliver water for irrigation purposes to the lands <br />historically irrigated by The Rio Grande and Piedra Valley Ditch <br />Company, the predecessor corporation, to this corporation. <br />d) To continue the operations and business conducted <br />thoughout the years by ~he Rio Grande and Piedra Valley Ditch <br />Company, incorporated April 3, 1880, the corporate life of which was <br />extended to April 3, 1960 and thereafter operated as a de facto <br />corporation from April 3, 1960 to the date of this incorporation. <br />-J- <br />
