N. WHEREAS, the District/Enterprise will pay the IDC for Loan Contract Two,
approximately $249,239, and the Loan origination fee for Loan Contract Two of
approximately $33,232 from the Reserve Accounts, again with repayment of the Reserve
Accounts from the WETP ACK irrigators per/acre payments;

O. WHEREAS, no Dolores Project Full Service ("FS") Irrigator will need to pay any
increased costs to the District because of WETP ACK construction under Loan Contracts
One and Two. In fact, the Operation and Maintenance (O&M) costs for Project FS
Irrigators are anticipated to decrease in the long term because additional WETP ACK
acres will share in O&M costs;

NOW, THEREFORE, the Board of Directors of the District by and through the District
Water Activity Enterprise approves the December 2004 Feasibility Study and a request
to the CWCB for Loan Contract Two, as described above, with the close out of Loan
Contract One to occur upon the CWCB' s executiqn of Loan Contract Two.
